Terms of Service
01Definitions#
- "MyZiggy", "we", "us", "our" — [Legal entity name], a [Delaware C-corporation], operator of the MyZiggy software and website.
- "Service" — the MyZiggy mobile application, website, dashboards, APIs, push notifications, and related software.
- "User", "you" — the natural person who registers for an account.
- "Setup" — a ranked, time-bound output of the Service consisting of a directional bias, a numerical Setup Score (1–7), an entry zone, an invalid level, and (on paid tiers) target levels.
- "Decision Engine" tier — the read-only subscription tier ($89/month or $890/year). Surfaces Setups only. No execution capability.
- "Full Platform" tier — the execution-enabled subscription tier ($149/month or $1,490/year). Allows you to connect your exchange and execute trades or run automation.
- "Pro" tier — the multi-execution engines/API tier ($249/month or $2,490/year).
- "Exchange" — a third-party digital-asset trading venue you connect to the Service via API key (currently Binance and/or Coinbase).
- "API Key" — credentials you generate at an Exchange and provide to MyZiggy to read account state and submit trade orders on your behalf.
- "Execution Engines" — server-side automation that, on paid tiers, can submit orders to your Exchange based on your pre-set parameters.
02Eligibility#
You may use the Service only if all of the following are true:
- You are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater).
- You have the legal capacity to enter into a binding contract.
- You are not a resident of, located in, or accessing the Service from a Restricted Region (see Section 15).
- You are not on any sanctions list maintained by OFAC, the UN, the EU, or HM Treasury, and you are not owned or controlled by any such person.
- You will use the Service only in compliance with all laws applicable to you, including securities laws, commodities laws, anti-money-laundering laws, and tax laws.
We may refuse, suspend, or terminate access at any time at our sole discretion if we have reason to believe any of the above is not satisfied.
03The Service — what it is and what it is not#
3.1 What the Service is
The Service produces ranked Setups for a fixed universe of digital-asset trading pairs. Each Setup includes a directional bias, a numerical score, an entry zone, an invalid level, and (for Full Platform and Pro) target levels. On Full Platform and Pro, the Service can also (a) calculate a position size based on a risk percentage you select, (b) submit orders to your connected Exchange when you confirm them, and (c) on your instruction, run a Execution Engines that submits orders automatically against criteria you configure.
3.2 What the Service is not
MyZiggy is not:
- a broker, dealer, exchange, alternative trading system, securities or commodities intermediary, money transmitter, money services business, or custodian;
- a registered investment adviser, financial planner, fiduciary, or commodity trading advisor;
- a "signal service", "alert service", or "trading signal provider" promising profitable trades;
- a guarantor of, or counterparty to, any trade.
The Service does not provide individualised investment, legal, tax, or accounting advice. Setups are general informational outputs of a software model applied to public market data; they are not recommendations to buy, sell, or hold any asset and are not tailored to your financial situation, goals, risk tolerance, or tax position.
3.3 Non-custodial
MyZiggy never takes custody of your digital assets or fiat balances. Your assets remain at all times in your own Exchange account or wallet. We do not have, and never request, withdrawal permission on your Exchange API keys. We cannot move, freeze, or access your assets.
3.4 No guarantee of performance
Past or hypothetical performance of any Setup, Execution Engines, or aggregate metric (including "win rate", "average R", or equity curves) is not indicative of future results. The Service may, at any time, produce Setups that result in losses. You may lose some or all of the capital you trade.

If you subscribe to Decision, you are buying access to information only. The Service will not execute, place, or assist in placing any order on your behalf at the Decision tier.
04Account registration#
You must register an account with accurate information and keep it current. You are responsible for safeguarding your password and any device on which you remain logged in. We strongly recommend enabling two-factor authentication. We require two-factor authentication for sensitive actions including manual trade confirmation, execution engines pause-and-close, and account deletion. You must notify us immediately at security@myziggy.ai of any unauthorised access. You are responsible for all activity under your account until you notify us.
05Subscriptions, fees, and billing#
5.1 Plans
The Service is offered on a subscription basis at the prices and feature splits described in Section 1 and on the Upgrade screen at the time of purchase. Pricing displayed in the Service at the time of your purchase is controlling.
5.2 Billing
We use Stripe, Inc. as our payment processor. By subscribing you authorise recurring charges to your selected payment method (a) at signup and (b) at the start of each renewal period (monthly or annual) until you cancel. Charges are non-refundable except as set out in our Refund Policy.
5.3 Renewal and cancellation
Subscriptions auto-renew. You may cancel at any time through the Service or through the Stripe customer portal. Cancellation takes effect at the end of the current billing period; you retain access through that period.
5.4 Price changes
We may change prices on a prospective basis with at least 30 days' notice to active subscribers. Price changes do not apply within a paid annual term.
5.5 Taxes
Stated prices do not include VAT, GST, sales tax, or other taxes. You are responsible for any such tax and for any tax on gains or losses you realise through trading.
5.6 Failed payments
If a charge fails, your subscription will be marked past-due. We may downgrade your tier or suspend execution features until payment is restored.
06Exchange connections and API keys#
6.1 You connect to your own Exchange
To use Full Platform or Pro execution features, you must connect an account at a supported Exchange by providing an API Key generated at the Exchange. You — not MyZiggy — are the customer of the Exchange. Your relationship with the Exchange is governed by the Exchange's terms.
6.2 Trade-only scopes; withdrawal not permitted
You must generate API Keys with trade and read scopes only. The Service will refuse to accept and will reject any API Key that has withdrawal, transfer, or fund-movement permissions enabled, by running a programmatic withdrawal-permission test on connection. You agree not to attempt to defeat this restriction.
6.3 Storage and use
API Key secrets are encrypted at rest using a managed key-management service. We use API Keys solely to (a) read your account state to display capital and positions, (b) place, modify, and cancel orders that you have authorised through the Service, and (c) operate Execution Engines that you have configured. We will not use your API Keys for any other purpose.
6.4 IP-restriction recommended
We strongly recommend that you IP-restrict your API Keys at the Exchange to MyZiggy's published IP allowlist. Failure to do so increases the impact of a credential compromise.
6.5 Your responsibility for the Exchange
You are responsible for funding your Exchange account, complying with the Exchange's KYC/AML and other obligations, and for any fees the Exchange charges. We are not responsible for Exchange outages, downtime, security incidents, insolvency, account freezes, geofencing, withdrawal delays, or any losses arising from any of the foregoing.
6.6 Disconnection
You may revoke a connection at any time through Profile → Exchange Connections, or by deleting the API Key at the Exchange. Disconnection will pause any running Execution Engine. Disconnection does not automatically close open positions; existing exchange-side stops and target orders remain managed by the Exchange.
07Trade execution and automation#
7.1 You authorise each manual trade
A manual trade is submitted to your Exchange only after you tap "Confirm Trade" and complete the second-tap confirmation drawer. You are solely responsible for each trade you confirm.
7.2 Execution Engines
If you enable a Execution Engine, you authorise the Service to submit, modify, and cancel orders on your behalf at your Exchange, at the parameters you configure (including minimum Setup Score, active coins, maximum open positions, and risk per trade), until you pause or stop the Execution Engine. You remain solely responsible for every order a Execution Engine submits. A Execution Engine will continue to operate based on your last-saved configuration even if you do not actively use the Service.
7.3 Execution risks (no warranty of execution)
Order execution is performed by the Exchange, not by MyZiggy. The price you actually receive may differ from the levels shown in a Setup or Trade Plan due to slippage, latency, partial fills, exchange order book depth, fee structure, exchange downtime, network congestion, or rate limits at the Exchange. Stop-loss orders are submitted to the Exchange as standard stop or stop-limit orders and are subject to the Exchange's order-execution behaviour, including the possibility of being filled at a price worse than the stop level (or, in fast markets, not filled at all).
7.4 No best-execution duty
We do not act as a broker and do not owe you a duty of best execution. We do not route between venues. The Service interacts only with the Exchange you have connected.
7.5 Capital field is user-declared
The "Trading Capital" field in the Service is a user-declared number used solely to compute position sizes and percentage views. It is not a wallet, deposit, or balance. We do not read your Exchange wallet balance. You are responsible for keeping this number consistent with the capital you actually wish to risk.
7.6 We may pause or block execution
We may pause or block execution features for an account if we detect (a) failed Exchange health checks, (b) suspected credential compromise, (c) violation of these Terms, (d) regulatory or legal requirement, or (e) a malfunction in the Service. We will notify you when reasonably possible.
08Intellectual property#
8.1 Our IP
The Service, including the methodology that produces Setups, Setup Scores, ranking, copy, design, code, trademarks, and the proprietary scoring system itself, is owned by us and our licensors. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own internal trading. You receive no licence to or interest in our underlying methodology or models.
8.2 Your data
You retain ownership of data you provide (account information, capital amounts, configuration, and trade history). You grant us a worldwide, royalty-free licence to use that data as described in the Privacy Policy, including in aggregate and de-identified form to operate, evaluate, and improve the Service.
8.3 Restrictions
You agree not to (a) reverse-engineer, decompile, or attempt to extract the methodology behind any Setup or Score, (b) scrape or systematically copy outputs of the Service, (c) resell, redistribute, or republish Setups or Scores to third parties, (d) use the Service to provide trading signals or advice to others, or (e) use the Service to operate a competing product.
8.4 Feedback
If you send us feedback, we may use it without restriction or compensation.
09Acceptable use#
You agree not to:
- use the Service for market manipulation, wash trading, layering, spoofing, or any conduct prohibited by applicable law;
- use the Service to launder money, finance terrorism, or evade sanctions;
- access the Service through any automated means other than the Pro API where authorised;
- attempt to gain unauthorised access to any account, system, or data;
- introduce malware or otherwise interfere with the Service;
- impersonate another person or misrepresent your affiliation;
- use the Service in any jurisdiction where doing so would violate local law.
We may terminate access for any violation of this Section without notice.
10Disclaimers#
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT (A) ANY SETUP WILL BE PROFITABLE, (B) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY DEFECTS, (C) ANY ORDER SUBMITTED THROUGH THE SERVICE WILL BE EXECUTED AT ANY PARTICULAR PRICE OR AT ALL, OR (D) ANY DATA OR METRIC IS ACCURATE OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, IN WHICH CASE THE FOREGOING EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11Limitation of liability#
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW:
(A) IN NO EVENT WILL MYZIGGY OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, GOODWILL, OPPORTUNITY, OR DATA; ANY TRADING LOSSES; OR ANY DAMAGES ARISING FROM EXCHANGE FAILURE, NETWORK FAILURE, SLIPPAGE, LATENCY, OR THIRD-PARTY CONDUCT — WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) USD 100.
(C) THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN BETWEEN YOU AND MYZIGGY. THE SERVICE WOULD NOT BE PROVIDED ON THE SAME ECONOMIC TERMS WITHOUT THESE LIMITATIONS.
12Indemnification#
You will indemnify, defend, and hold harmless MyZiggy and its directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) any trade or order placed through the Service or by any Execution Engine you configured, (c) your violation of these Terms or any applicable law, (d) your violation of any third-party right (including any Exchange's terms), or (e) any tax owed by you. We may, at our option, assume control of the defence at your expense.
13Term and termination#
These Terms apply from the moment you create an account and continue until terminated. You may terminate by deleting your account at any time. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if continuing service would create an unacceptable legal or operational risk. Upon termination, we will cancel future billing and you will lose access to paid features. We are not obligated to refund any prepaid amounts except as provided in the Refund Policy. Sections that by their nature should survive (including Sections 8, 10, 11, 12, 14, 15, 16) will survive termination.
14Dispute resolution and arbitration (US users)#
PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS.
14.1 Informal resolution first
Before filing any claim, you agree to contact us at legal@myziggy.ai and allow us 30 days to attempt to resolve the dispute informally.
14.2 Binding arbitration
If we cannot resolve a dispute informally, you and MyZiggy agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in [Wilmington, Delaware] or by video, at the claimant's option. The arbitrator may award only individual relief.
14.3 Class-action waiver
You and MyZiggy each waive the right to participate in a class action, collective action, or representative action against the other. The arbitrator may not consolidate claims of more than one person.
14.4 Opt-out
You may opt out of this arbitration agreement by sending written notice to legal@myziggy.ai within 30 days of first accepting these Terms. Opt-out only affects the arbitration clause; the rest of these Terms continue to apply.
14.5 Carve-outs
Either party may bring a small-claims action in a court of competent jurisdiction. Either party may seek injunctive or equitable relief in court for IP misuse or breach of confidentiality.
14.6 Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The Federal Arbitration Act governs the interpretation and enforcement of Section 14.
14.7 Non-US users
If you are not a US resident, the arbitration provisions in this Section apply unless prohibited by your local law, in which case disputes will be resolved in the courts of [Delaware] applying Delaware law, except where mandatory consumer-protection law requires otherwise.
15Restricted regions#
The Service is not offered to, and may not be accessed from, the following jurisdictions: Cuba, Iran, North Korea, Syria, the Crimea / Donetsk / Luhansk regions of Ukraine, and any other jurisdiction subject to comprehensive US sanctions. We may, in our discretion, block or restrict access from additional jurisdictions in which crypto trading or our specific feature set is regulated in a way that prevents lawful operation (including, presently, [list to be confirmed by counsel — e.g., mainland China, certain US states for execution features]). Use of a VPN or other technical means to circumvent geo-restrictions is a material breach of these Terms.
16Changes to the Terms#
We may change these Terms by posting an updated version in the Service and updating the "Last updated" date. For material changes we will provide at least 14 days' notice by email or in-app banner before the change takes effect. Continued use after the effective date constitutes acceptance. If you do not accept a material change you must stop using the Service before the effective date.
17General#
- Entire agreement. These Terms, together with the Privacy Policy, Risk Disclosure, and Refund Policy, are the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remainder remains in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delay or failure due to events beyond our reasonable control, including Exchange outages, blockchain reorganisations, cyberattacks, war, sanctions, regulatory action, or natural disaster.
- No agency. Nothing in these Terms creates a partnership, agency, or fiduciary relationship.
- Notices. We may give notices by email to the address on your account. You may give notices to legal@myziggy.ai.
- Headings. Headings are for convenience only.
